1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and Mercury Platform Limited, a company incorporated in Nigeria with registration number RC 9475384 and its registered office at K1, Ogombo Road, Ajah, Lagos State, Nigeria (“Mercury”, “we”, “us”). They govern your access to and use of www.mercuryplatformlimited.com, our apps and related services (the “Platform”). By creating an account or using the Platform, you agree to these Terms, our Privacy Policy and our Refund & Payout Policy.
2. Who can use Mercury
- You must be at least 18 years old and able to enter into a binding contract.
- You must not be barred from receiving services under Nigerian law or the laws of your country of residence.
- If you use Mercury on behalf of a business, you confirm you are authorised to bind that business to these Terms.
3. Your account
You must provide accurate, current and complete information and keep it updated. You are responsible for all activity on your account and for keeping your password secure. You may hold only one creator account. Notify us immediately at info@mercuryplatformlimited.com if you suspect unauthorised access. Mercury staff will never ask for your password, bank PIN or one-time passcode.
4. Your content
You own the content you publish on Mercury. By posting, you grant Mercury a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, distribute and promote your content for the purpose of operating and marketing the Platform. This licence ends when you delete the content or your account, except where content has been shared by others or must be retained for legal reasons.
You confirm that you own or have the necessary rights to all content you publish, and that it does not infringe anyone else’s rights.
5. Prohibited conduct
You must not use Mercury to:
- Post spam, repetitive or misleading content, clickbait, or content copied from other creators;
- Buy, sell or artificially generate followers, views, likes or other engagement, including via bots or view-for-view schemes;
- Publish sexually explicit content, content involving minors, hate speech, harassment, threats or incitement to violence;
- Promote illegal goods or services, gambling without a licence, Ponzi or pyramid schemes, or “investment” offers;
- Impersonate any person or organisation, or misrepresent your affiliation with Mercury;
- Engage in fraud, money laundering, chargeback abuse, or use another person’s bank account or identity; or
- Interfere with, scrape, reverse-engineer or disrupt the Platform or its security.
6. Monetization
To be eligible for monetization you must have at least 500 followers, 10 original posts, a valid bank account in your name, and no spam or policy strikes. Meeting these criteria does not guarantee approval; we review each application. Earnings are based on qualified views, fan tips, subscriptions and brand campaigns as shown in your dashboard. Rates may vary with advertiser demand and audience location, and we do not guarantee any level of earnings.
7. Payments & payouts
Payments on the Platform are processed by our licensed payment partners, Paystack and Stripe, whose own terms also apply. The minimum withdrawal is ₦5,000; payouts are made weekly and processed within 24–72 hours. Processor transfer and transaction fees apply, and KYC verification is required. Full details are in our Refund & Payout Policy. Mercury is not a bank, and your wallet balance does not earn interest.
8. Fans & brands
Fans who send tips or purchase subscriptions, and brands who fund campaigns, authorise Mercury and its payment partners to charge their chosen payment method. Refunds are governed by our Refund & Payout Policy. Brand campaigns are additionally subject to the campaign agreement agreed at booking.
9. Intellectual property
The Mercury name, logo, Platform software and design are owned by Mercury Platform Limited and protected by law. You may not use them without our written permission. If you believe content on Mercury infringes your copyright, email info@mercuryplatformlimited.com with details of the work, the infringing content and your contact information, and we will act promptly.
10. Suspension & termination
You may close your account at any time from your settings or by contacting us; any eligible balance above the minimum withdrawal will be paid out following completion of KYC. We may suspend or terminate your account, remove content, or withhold earnings connected to a breach of these Terms, fraud, or a legal requirement. Where possible, we will tell you why and give you an opportunity to appeal.
11. Disclaimers & limitation of liability
The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, Mercury is not liable for indirect, incidental or consequential losses, loss of profits or data, or delays caused by banks, payment processors or events beyond our reasonable control. Our total liability to you for any claim is limited to the fees or earnings paid to or by you through the Platform in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited under Nigerian law.
12. Indemnity
You agree to indemnify Mercury, its directors and staff against claims, losses and costs arising from your content, your breach of these Terms, or your violation of any law or third-party right.
13. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. We encourage you to contact us first so we can try to resolve any complaint informally. Disputes not resolved within 30 days shall be referred to arbitration in Lagos under the Arbitration and Mediation Act 2023, without prejudice to your statutory consumer rights, including under the Federal Competition and Consumer Protection Act 2018.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app at least 14 days before they take effect. Continued use of the Platform after that date means you accept the updated Terms.
